Terms of Service

1. Acceptance of terms

By accessing, registering for, or using EateryHub ("the Service"), including our website (https://www.eateryhub.ca), mobile applications, Daylight Cloud POS, Kitchen Display System (KDS), Voice AI Phone Ordering, and Grow marketing tools, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all visitors, restaurant operators, team members, and guests interacting with our platform.

2. Description of service

EateryHub is an AI-first restaurant operating system designed, developed, and made in Ontario, Canada.

Our platform unifies direct, 0% commission online reservations, table and guest management, Daylight Cloud POS, Kitchen Display System (KDS), 24/7 Voice AI Phone Ordering, guest loyalty and retention marketing (Grow Suite), custom form builders, and operational analytics. The Service is provided "as is" and we continuously evolve features with reasonable notice.

3. Account registration and staff roles

You must provide accurate, current, and complete business information during registration. You are responsible for safeguarding your login credentials and staff PINs.

Our platform provides role-based access controls (Owner, Manager, Server, Host, Kitchen). Restaurant operators are solely responsible for assigning appropriate permissions, safeguarding Manager PINs used for step-up authorizations (e.g. voids, discounts, shift reconciliations), and promptly revoking credentials for departed personnel.

4. Subscription plans, billing, and cancellations

EateryHub offers transparent flat-rate subscription plans (such as Starter at $30/month or $290/year, and Growth at $99/month or $950/year). We never charge per-cover reservation fees, booking tolls, or hardware penalty markups.

Subscriptions are billed in advance on a recurring monthly or annual cycle through our payment processor, Stripe. By subscribing, you authorize recurring charges to your payment method and agree to Stripe's Terms of Service.

If your plan includes a 14-day free trial, you will not be charged until the trial period ends. You may cancel your subscription at any time directly through the Billing dashboard. Cancellations take effect at the end of the current paid billing cycle, and no partial refunds are issued for unused time.

Pricing changes will be communicated with at least 30 days' advance notice to active subscribers.

5. Point of Sale (POS) and payment processing

EateryHub enables restaurants to accept payments in-person (via Stripe Terminal / Tap to Pay) and online (via Stripe Checkout for deposits and orders). Restaurant operators connect their own Stripe merchant accounts directly:

• EateryHub is not a bank, payment processor, or money services business. Funds flow directly through your connected Stripe account.
• Operators are solely responsible for configuring and remitting all applicable sales taxes (including Canadian GST/HST, provincial taxes, or US state/local sales taxes).
• Operators are responsible for staff tipping configurations, cash drawer reconciliations (opening float, cash drops, and Z-reports), and merchant chargeback management.

6. Voice AI and communications compliance

Restaurants utilizing our 24/7 Voice AI Phone Ordering and Grow Suite SMS/email tools acknowledge and agree that:

• You will comply with all applicable telecommunications, call recording, and wiretapping laws. Our Voice AI host automatically announces call recording and AI assistance to callers to ensure compliance.
• You will comply with Canada's Anti-Spam Legislation (CASL) and applicable consumer protection statutes. You may only send marketing messages to diners who have provided express or implied consent under applicable law.
• EateryHub provides immediate unsubscribe and opt-out capabilities on all automated messages.

7. Restaurant operator responsibilities

As an operator using EateryHub, you agree to:

• Accurately present menus, pricing, allergen notices, availability, and operating hours.
• Honor confirmed reservations and orders fulfilled through the platform.
• Treat customer information respectfully and in compliance with privacy regulations.
• Not use the platform for fraudulent, deceptive, or unauthorized commercial activities.

8. Guest data and privacy

Guest reservation, order, and contact information is collected on behalf of the restaurant operator. The restaurant operator is the Data Controller, and EateryHub serves as the Data Processor. For details on how data is collected, handled, and protected, review our Privacy Policy.

9. Acceptable use

You agree that you will not:

• Reverse-engineer, decompile, or extract the source code of the EateryHub platform or mobile applications.
• Scrape, crawl, or harvest data systematically from the service.
• Circumvent or tamper with security boundaries, staff PIN verification, or multi-tenant database row-level security (RLS).
• Transmit unlawful, defamatory, or abusive communications through our Voice AI or SMS systems.

10. Intellectual property

The EateryHub platform, including its software, user interfaces, branding, logos, and documentation, is the exclusive intellectual property of EateryHub and protected by copyright and trademark laws. All restaurant-provided assets (names, logos, menu photography) remain the property of the respective restaurant operator.

11. Limitation of liability

To the maximum extent permitted by applicable law, EateryHub and its directors, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill arising out of your access to or use of the Service.

Our total aggregate liability for any claims arising from the Service shall not exceed the subscription fees paid by you to EateryHub in the three (3) months preceding the event giving rise to liability.

12. Service availability

We strive for 99.9% platform availability and employ redundant cloud infrastructure. However, we do not warrant that the Service will be completely uninterrupted or error-free. We are not liable for telecommunications carrier outages, third-party network disruptions, or hardware malfunctions.

13. Termination

We reserve the right to suspend or terminate accounts that breach these terms or engage in fraudulent activities. Operators may terminate their account at any time. Following termination, operators have a 30-day window to export their guest records and operational data before permanent removal.

14. Governing law and jurisdiction

These Terms of Service and any dispute, controversy, or claim arising out of or related to them or the Service shall be governed by, construed, and enforced in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.

You irrevocably agree that the courts located in Ontario, Canada shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Service.

15. Changes to these terms

We may update these terms occasionally. We will notify active account holders by email or in-dashboard notification at least 14 days before any material changes become effective. Continued use of the platform after that date constitutes your agreement to the modified terms.
